Platonic Terms of Service
1. Scope, Acceptance and Contract Priority
These Terms of Service (the “Terms”) govern access to and use of the website, demo, software application, and related services provided by Llime, Inc., doing business as Platonic (“Platonic,” “we,” “us,” or “our”) (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you are authorized to do so on its behalf. The Services are intended for business and professional use, not personal or household use.
If you or your organization has entered into a separate written agreement with Platonic, including a master services agreement or order form, that agreement controls to the extent of any conflict with these Terms.
2. Services
Platonic provides software that helps organizations observe, map, analyze, and improve business processes and workflows.
We may modify, add, remove, suspend, or discontinue features or functionality of the Services. Except as expressly stated in a separate written agreement, we do not commit to any specific feature, functionality, availability level, or business outcome.
3. Accounts, Access and Permitted Use
Where an account is required, you must provide accurate information, keep credentials secure, and promptly notify us of suspected unauthorized access. You are responsible for activity conducted through your account.
Subject to these Terms, Platonic grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your internal business purposes.
You may not:
- use the Services in violation of applicable law or third-party rights;
- access, deploy, or use the Services without appropriate authorization;
- circumvent or interfere with security, access controls, usage limits, or technical restrictions;
- reverse engineer, decompile, or disassemble the Services, except to the extent applicable law expressly permits;
- resell, sublicense, redistribute, or use the Services to develop a competing product or service;
- scrape or extract data from the Services except through interfaces expressly provided for that purpose; or
- introduce malware or other harmful code into the Services.
4. Customer Responsibilities and Workforce Deployment
You are responsible for determining whether and how the Services may lawfully be deployed in your organization. You represent and warrant that you have all rights, permissions, authority, and lawful bases required to provide Customer Data to Platonic and to deploy and use the Services.
Where the Services are used in connection with employees, contractors, or other personnel, you are responsible for complying with applicable employment, privacy, data protection, workplace monitoring, and similar laws, including providing any notices, consultations, or consents required by law. Platonic does not determine whether a particular deployment is lawful for your organization or jurisdiction.
5. Customer Data and Privacy
“Customer Data” means data, content, or information submitted to, collected through, or otherwise made available to the Services by or on behalf of you or your organization. As between you and Platonic, you retain your rights in Customer Data.
You grant Platonic the rights necessary to host, process, transmit, analyze, and otherwise use Customer Data to provide, operate, secure, support, maintain, and improve the Services. Platonic may also use aggregated or de-identified information and general technical learnings that do not reasonably identify you, your organization, or an individual to improve its products and services.
You may use, copy, export, and otherwise use reports, process maps, analytics, and other outputs generated for you from Customer Data, subject to applicable law and third-party rights. Platonic retains all rights in the underlying software, models, methods, systems, and technology used to generate those outputs.
Personal data is handled in accordance with Platonic's Privacy Policy. Where Platonic and a customer enter into a separate data processing agreement, that agreement governs the processing covered by it and controls in the event of a conflict with these Terms.
6. Platonic Intellectual Property and Feedback
Platonic and its licensors retain all right, title, and interest in and to the Services and their underlying software, models, algorithms, interfaces, documentation, methods, know-how, and other technology, including all related intellectual property rights. Except for the limited rights expressly granted in these Terms, no rights are granted by implication or otherwise.
If you voluntarily provide suggestions, ideas, or other feedback about the Services, Platonic may use that feedback without restriction or compensation, provided that doing so does not override any confidentiality obligation separately agreed with you.
7. Service, AI and Analytics Disclaimers
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Platonic disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
Process maps, classifications, inferred activities, estimates, recommendations, and other analytics or outputs may be produced using statistical, automated, or AI-based methods and may be incomplete, inaccurate, or contain errors. You are responsible for applying independent judgment before relying on or acting on any output. Platonic does not guarantee any specific operational, financial, or business result.
The Services may depend on third-party infrastructure, software, integrations, platforms, or other services. Except as required by applicable law or expressly agreed in writing, Platonic is not responsible for third-party services or their availability, performance, or terms.
8. Limitation of Liability
To the fullest extent permitted by law, Platonic and its affiliates, directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages.
To the fullest extent permitted by law, Platonic's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) USD $100 and (b) the fees paid to Platonic for the Services during the 12 months preceding the event giving rise to the claim.
These limitations apply regardless of the legal theory asserted and only to the extent permitted by applicable law. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
9. Indemnification
You will defend, indemnify, and hold harmless Platonic and its affiliates, directors, officers, employees, and agents from and against third-party claims, damages, liabilities, losses, and reasonable legal costs arising out of or relating to: (a) Customer Data; (b) your deployment or use of the Services in violation of applicable law or third-party rights; (c) any failure to obtain required authority, notice, consultation, or consent for workforce monitoring or data collection; or (d) your material breach of these Terms.
10. Suspension and Termination
These Terms remain in effect while you use the Services. You may stop using the Services at any time. Platonic may suspend or terminate access to the Services where it reasonably believes that use violates these Terms or applicable law, creates a security risk, could harm Platonic or a third party, or where suspension is otherwise permitted under a separate written agreement.
Upon termination, your right to use the Services under these Terms ends. Provisions that by their nature should survive termination, including provisions concerning customer responsibilities, intellectual property, disclaimers, liability, indemnification, and legal terms, will survive.
11. Legal Terms
Changes to These Terms
Platonic may update these Terms from time to time. The effective date above identifies the current version. Where required by law, or where otherwise appropriate for a material change, Platonic will provide reasonable notice. Continued use of the Services after an updated version becomes effective constitutes acceptance of the updated Terms.
Governing Law and Courts
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The state and federal courts located in Delaware have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, and you consent to the jurisdiction of those courts.
Transfer of These Terms
You may not transfer or assign these Terms without Platonic's prior written consent. Platonic may transfer these Terms as part of a merger, reorganization, financing, acquisition, or sale of all or substantially all of its business or assets.
Events Outside Our Control
Platonic will not be liable for delay or failure to perform caused by events beyond its reasonable control.
Enforcement and Severability
A failure to enforce any provision is not a waiver of the right to enforce it later. If any provision is held unenforceable, the remaining provisions remain in effect.
Entire Agreement and Relationship
These Terms and any documents expressly incorporated by reference constitute the agreement governing your use of the Services, subject to any separate written agreement with Platonic. These Terms do not create a partnership, joint venture, agency, fiduciary, or employment relationship between you and Platonic.
